Learnkad Terms of Use

Effective Date: August 25, 2025

These Terms of Use (the “Terms”) apply to Learnkad Language App and all associated websites, mobile applications, digital platforms, and interactive features or downloads (collectively, the “Sites,” and individually, a “Site”).

By accessing or using any Learnkad service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use Learnkad.

Please also review our Privacy Policy, which explains how we collect and use your information.

1. Additional Terms

Certain Learnkad services, features, or promotions may have their own additional terms (“Additional Terms”). If Additional Terms apply, they will be presented before you use the relevant feature. Where there is a conflict between these Terms and the Additional Terms, the Additional Terms will prevail unless they expressly state otherwise.

2. Changes to the Terms

Learnkad may update these Terms periodically. Changes take effect immediately upon posting (or after any legally required notice period). By continuing to use Learnkad after changes are posted, you accept the updated Terms. If you do not agree, discontinue using the Service.

3. Dispute Resolution; Arbitration Agreement

If you have a dispute or claim (“Claim”) arising from or relating to these Terms or the Learnkad Service, you and Learnkad agree to resolve it through individual binding arbitration or an individual small claims action, rather than a class action or class arbitration.

You and Learnkad waive the right to a trial by jury and agree that any arbitration will be conducted on an individual basis only.

Pre-Arbitration Notice and Informal Resolution

• Provide written notice describing the issue and desired resolution.
• Participate in good faith discussions for at least 60 days.

If the dispute remains unresolved after this informal process, either party may proceed with arbitration or small claims court.

Arbitration Procedure

• Arbitration will be administered by a neutral arbitration provider using rules consistent with fair due process and applicable law.
• Unless both parties agree otherwise, arbitration will take place in your local jurisdiction or virtually.
• Each party will bear its own legal fees unless otherwise required by law.
• The arbitrator’s decision will be final and binding, with limited rights of appeal.

4. Ownership of Content

All materials on the Sites, including text, graphics, software, designs, audio, video, and other content (“Site Content”), are owned or licensed by Learnkad and protected under applicable intellectual property laws.

You may not reproduce, modify, distribute, or create derivative works from any Site Content without Learnkad’s express written permission.

5. License to Use Learnkad Content

Learnkad grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site Content for personal, non-commercial learning purposes only, provided you comply fully with these Terms.

You agree not to:

• Remove or alter copyright or proprietary notices
• Reverse-engineer or copy source code
• Use automated systems (bots, scrapers) to extract content or data

6. Social Sharing and Embedding

Learnkad may allow limited social sharing of Site Content (such as lessons or progress badges) via approved methods like in-app sharing or official embed widgets. Sharing must not misrepresent Learnkad or be used for commercial or misleading purposes.

7. Reporting Intellectual Property Violations

If you believe any content on Learnkad infringes your intellectual property rights, please provide:

• Identification and location of the infringing material
• Description of your rights and basis for infringement
• Your name and contact information

Learnkad will review valid claims and remove infringing materials as appropriate.

8. User Content and Submissions

You may submit content such as comments, recordings, or translations. By doing so, you grant Learnkad a worldwide, royalty-free, perpetual license to use and distribute your content to operate and improve the Service.

You are responsible for your submissions and agree not to upload unlawful, offensive, or infringing materials.

9. Acceptable Use Policy

You agree not to use Learnkad to:

• Violate laws or regulations
• Harass, threaten, or harm others
• Attempt unauthorized system access
• Upload viruses or malicious scripts
• Interfere with normal operation of the Sites

Learnkad may suspend or terminate accounts violating this policy.

10. Membership, Registration & Access Control

Certain Learnkad features require registration or paid subscription. You agree to provide accurate information, keep your login credentials secure, and notify Learnkad of unauthorized access. Accounts may be suspended for violations.

11. Third-Party Content and Links

Learnkad may include links or integrations with third-party services. Learnkad is not responsible for their content or policies. Use third-party services at your own risk.

12. Disclaimer of Warranties

Learnkad is provided “as-is” and “as-available.” To the fullest extent allowed by law, Learnkad disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent allowed by law, Learnkad is not liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or goodwill
• Unauthorized access or alteration of your data

Your sole remedy for dissatisfaction with Learnkad is to stop using the Service.

14. Termination

Learnkad may suspend or terminate your access at any time, without notice. Upon termination, your right to use the Sites immediately ceases.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of your country of residence unless otherwise required. Any legal proceedings (other than arbitration) shall occur in courts of that jurisdiction.

16. Miscellaneous

These Terms constitute the entire agreement between you and Learnkad. If any part is invalid, the remainder stays in effect. Failure to enforce a provision does not waive the right to enforce it later.
